Terms And Conditions Of Business
Exeter Analytical (UK) Limited
Products
It is an express condition that all persons or entities dealing with Exeter Analytical (UK) Ltd (hereinafter referred to as “the Company”) do so in full agreement with the following Conditions of Sale. All orders are accepted solely on this basis.

1. Prices
All prices are subject to alteration without prior notice. Value Added Tax (VAT) will be charged at the prevailing statutory rate.
Price lists are issued on an annual basis (January to December). Any quotations provided by the Company shall remain valid for a period of ninety (90) days from the date of issue, unless otherwise stated in writing.

2. Carriage
Carriage shall be charged at cost, together with a nominal packaging fee ranging from £8.00 to £10.00, unless a specific alternative rate has been quoted in advance.

3. Deliveries
The Company will endeavour to deliver all goods in a single consignment wherever practicable. In circumstances where this is not possible, any outstanding items will be retained on back order and dispatched as soon as available, unless written instructions to the contrary are received from the purchaser.

4. Back Orders
Back orders are normally dispatched within three (6) weeks of the original order date without prior notification. No additional carriage charge will be levied on back orders.

5. Payments
All payments shall be made directly to the Company in accordance with the agreed payment terms. BACS transfers: Please quote your account number and relevant invoice number(s) as reference.
Unless otherwise agreed in writing, payment for goods supplied shall be due thirty (30) days from the date of invoice.

6. Discounts
The Company may, at its discretion, offer discounts based on order quantity or other qualifying criteria. For details of available discount structures, please contact info@exeteranalytical.co.uk

7. New Accounts
The Company reserves the right to require payment in advance from new customers where creditworthiness has not been established to its satisfaction.

8. Proforma Invoices
For orders supplied on a proforma basis, payment in full must be received and cleared by the Company prior to the release of goods.

9. Non-Delivery And Goods Damaged In Transit
Non-delivery: The Company must be notified in writing within ten (10) days of the invoice date.
Damaged goods: Notification must be received within three (3) days of delivery.
Claims for shortages or damage cannot be accepted more than three (3) working days after the date of delivery.

10. Specifications
The Company reserves the right to amend the specification, source, or description of any product listed in its catalogue or price list without prior notice. Where necessary, equivalent or substitute products of comparable quality may be supplied.
The publication of a catalogue or price list shall not constitute an offer for sale. All specifications and statements are provided for guidance only and are subject to modification as required.

11. Returns
The Company will accept the return of goods provided that:
The goods are returned in their original condition and packaging; and
The return is made within thirty (30) days of the date of purchase.
All returns are subject to inspection and prior authorisation by the Company.

12. Governing Law
All agreements, contracts, and transactions entered into with Exeter Analytical (UK) Ltd (hereinafter referred to as “the Company”) shall be governed by, and construed in accordance with, the laws of England and Wales. The parties hereby submit to the exclusive jurisdiction of the English courts.

13. Retention of Title
The intending purchaser acknowledges that before agreeing to the purchase of any goods from us such intending purchaser has expressly represented and warranted that he or it is not insolvent, and has not committed any act of bankruptcy or, being a company with limited or unlimited liability, knows of no circumstances which would entitle any debenture holder or secured creditor to appoint to receiver to petition for winding-up of such Company, or exercise any other rights over or against such company’s assets. Goods which are the subject of any agreement by us to sell shall be at the risk of the intending purchaser as soon as delivered by us to the intending purchaser’s premises or otherwise to his or its order. Such goods shall remain our sole and absolute property as legal and equitable owner until such a time as the intending purchaser shall have paid to us the agreed price together with the full price of any other goods which are the subject of any other contract with us.
14. Compliance With UK WEEE Regulations
Exeter Analytical UK Ltd is classified as a producer with respect to EEE for users other than private households under The Waste Electrical and Electronic Equipment Regulations 2013
Regulation 12 (1) places an obligation on Exeter Analytical to finance the costs of treatment, recovery, and environmentally sound disposal of waste electronic equipment (WEEE) from our customers, where that WEEE
1) Is composed of equipment sold to customers before 13th August 2005 and is being replaced by products from Exeter Analytical of the same type or that perform the same function.
2) Is composed of Exeter Analytical UK Ltd equipment purchased by our customers after 13th August 2005
However, Regulation 12(2) allows these responsibilities to be passed on to end users through contractual terms, and this option has been taken by Exeter Analytical UK Ltd (please refer to the clause in our standard terms and conditions).

Analytical Services
Application Of Terms
These Terms and Conditions apply to all dealings between Exeter Analytical (UK) Ltd (hereinafter referred to as “EA” or “the Company”) and the customer for the supply of chemical analysis services.
1. Upon receipt of a completed Analytical Data Form, and subject to Clause 3 below, EA agrees to carry out the chemical analyses requested and shall use reasonable endeavours to perform such analyses within a reasonable timeframe following receipt of the samples.
2. EA reserves the right, at its sole discretion, to refuse to undertake any analysis request. In such cases, EA will notify the customer as soon as reasonably practicable.
3. The price for each analysis shall be as agreed between EA and the customer from time to time and shall be subject to Value Added Tax (VAT) at the prevailing rate.
4. Payment is due within thirty (30) days of the date of invoice, unless otherwise agreed in writing.
5. Interest will accrue on any overdue invoices from the due date for payment until payment is received in full, at a rate of 4% per annum above the Bank of England base rate from time to time in force.
6. EA’s total liability to the customer, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total price payable for the analysis in question.
7. EA shall not be liable to the customer for any indirect or consequential loss, damage, cost, or expense of any kind whatsoever, including (without limitation) economic loss, loss of profit, business interruption, or loss of goodwill.
8. If any provision of these Terms and Conditions is found to be invalid or unenforceable, such provision shall be deemed severed from the remainder, which shall remain valid and enforceable to the fullest extent permitted by law.
9. The customer acknowledges that these Terms and Conditions, together with the Analytical Data Form and the agreed pricing, constitute the entire agreement between the parties. The customer confirms that it has not relied on any oral or written representations, assurances, or statements made by EA, its employees, or agents, and that it has made its own independent inquiries.
10. These Terms and Conditions supersede all prior agreements, understandings, or arrangements (whether written or oral) between the parties relating to the subject matter hereof.
11. These Terms and Conditions shall be governed by, and construed in accordance with, the laws of England and Wales.
12. The parties agree that any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. The failure or delay by either party to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or of any right to enforce it subsequently.
14. All information provided by the customer or by EA shall be treated as strictly confidential, except where disclosure is required by law. Any unauthorised disclosure of confidential information shall constitute a breach of contract and may result in legal action.
Disclaimer For Test Reports
The test report was made with due care within the limitations of a defined scope of work and on the basis of information, materials received from the Customer or its nominated third parties. Exeter Analytical (UK) Ltd is under no obligation to refer to or report upon any facts or circumstances which are outside the specific instructions received and accepts no responsibility to any parties whatsoever, following the issue of the report, for any matters arising outside the agreed scope of the works. The test results are not intended to be a recommendation for any particular course of action. Customer is responsible for acting as it sees fit on the basis of such results. The reported result(s) relate specifically to the sample(s) that were drawn and delivered by the Customer or their nominated third party. The reported result(s) provide no warranty or verification on the sample(s) representing any specific goods, material and/or shipment and only relate to the sample(s) as received and tested. Exeter Analytical (UK) Ltd will not be responsible for any damages caused to the samples during their transit to its facilities, and Customer acknowledges that the conditions surrounding the samples during the transit may impact the results. This report does not discharge or release the factory/sellers/suppliers from their commercial, legal or contractual obligations with buyers or end-users in respect of products provided by the factory/sellers/suppliers. Any use of the Exeter Analytical (UK) Ltd name or one of its marks for the sale or advertisement of the tested materials or product must first be approved in writing by Exeter Analytical (UK) Ltd.
